Setup India provides various business registration, compliance, and advisory services to entrepreneurs and businesses in India. Our services include, but are not limited to:

• Company and LLP registration
• Trademark and intellectual property registration
• GST, FSSAI, and other business registrations
• Compliance services
• Bookkeeping and accounting services
• Fundraising advisory services
• Business documentation services

We reserve the right to modify, suspend, or discontinue any part of our services at any time without notice or liability.

By using our services, you agree to:

• Provide accurate, complete, and up-to-date information as required for our services
• Maintain the confidentiality of any account credentials
• Promptly update your information if it changes
• Comply with all applicable laws and regulations
• Use our services only for lawful purposes
• Not engage in any activity that interferes with or disrupts our services
• Not attempt to access any part of our services by any means other than through the interfaces we provide

You are solely responsible for the accuracy and completeness of the information you provide. We are not responsible for any consequences resulting from inaccurate or incomplete information provided by you.

The fees for our services are displayed on our website or communicated to you during the service engagement process. All fees are in Indian Rupees (INR) and are inclusive of applicable taxes unless otherwise stated.

Payment terms:

• Payment must be made in advance for most services
• We accept payment through various methods including credit/debit cards, net banking, UPI, and other electronic payment methods
• For certain services, we may offer installment payment options
• All payments are processed through secure payment gateways
• Invoices will be sent to your registered email address

We reserve the right to change our fees at any time. Any fee changes will not apply to services already purchased.

We strive to deliver our services within the estimated timeframes communicated to you. However, many of our services involve interactions with government authorities and third parties, which may cause delays beyond our control.

Service delivery considerations:

• Timeframes provided are estimates and not guarantees
• Service completion depends on timely submission of required documents and information by you
• Government processing times may vary and are outside our control
• We will keep you informed about the status of your service
• Additional information or clarification may be required during the service process

We are not liable for any delays caused by government authorities, third parties, or your failure to provide necessary information or documents in a timely manner.

All content on our website, including text, graphics, logos, icons, images, audio clips, digital downloads, and software, is the property of Setup India or its content suppliers and is protected by Indian and international copyright laws.

You may not:

• Reproduce, duplicate, copy, sell, resell, or exploit any portion of our website or services
• Use our trademarks, service marks, or logos without our prior written consent
• Remove any copyright, trademark, or other proprietary notices from any content

To the maximum extent permitted by law, Setup India and its affiliates, officers, employees, agents, partners, and licensors shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your use or inability to use our services
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from our services
• Any bugs, viruses, trojan horses, or the like that may be transmitted to or through our services
• Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through our services

You agree to defend, indemnify, and hold harmless Setup India and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from:

• Your use of and access to our services
• Your violation of any term of these Terms of Service
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right
• Any claim that your content caused damage to a third party

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located in New Delhi, India for the resolution of any disputes.

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use our services.
